These Terms of Use ("Terms") govern your access to and use of the Frexic mobile application and website (collectively, the "Platform"), owned and operated by Xenorbit Innovations Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at Thane, Maharashtra, India. For the purpose of these Terms, "We", "Us", "Our" or "Frexic" refers to Xenorbit Innovations Private Limited, and "You", "Your" or "User" refers to the person accessing or using the Platform. By accessing, browsing, or using the Platform, creating an account, or placing an order, You accept and agree to be bound by these Terms, along with our Privacy Policy (available on the Platform). These documents together constitute a legally binding agreement between You and Frexic. If You do not agree to these Terms, You must immediately discontinue use of the Platform and uninstall the mobile application. We reserve the right to modify, amend, or update these Terms at any time. Material changes will be communicated via email, in-app notification, or prominent notice on the Platform at least 7 days before taking effect. Your continued use of the Platform after such notification constitutes acceptance of the modified Terms. This is a electronic record generated by a computer system and does not require any physical or digital signatures in accordance with the Information Technology Act, 2000.

Frexic operates as an online marketplace platform that offers fresh fruits, vegetables, and related farm products ("Products"). • We provide products, technology platform, logistics coordination, and customer support What We Offer: • Fresh fruits and vegetables • Seasonal and exotic produce • Organic and conventional options What We Don't Do: • We cannot control weather-dependent availability • We do not provide agricultural or dietary advice Geographic Availability: The service is available in select cities and areas within India. Coverage may expand or contract without notice based on operational requirements. You can check service availability by entering your delivery address on the Platform before placing an order. Frexic reserves the right to: • Refuse or discontinue service in any area • Add or remove product categories • Modify service features or delivery options • Suspend operations during force majeure events
👤3. Eligibility and Account Registration

Account Creation: To use the Platform's services, You must register and create an account by providing: • Complete name • Valid mobile number • Delivery address(es) • Any other information as required Account Responsibilities: You agree to: • Provide accurate, current, and complete information • Update information promptly if it changes • Maintain the confidentiality of your account credentials • Not share your account with others • Not create multiple accounts • Immediately notify us of any unauthorized access We reserve the right to: • Verify Your identity and information • Request additional documentation for verification • Suspend or terminate accounts with incomplete/false information • Refuse service to anyone at our sole discretion • Disable accounts that violate these Terms Account Security: • You are solely responsible for all activities under Your account • We are not liable for losses due to unauthorized account access • You must use strong passwords and keep them confidential • Never share OTPs or passwords with anyone, including those claiming to be Frexic representatives Account Termination: • We may suspend/terminate Your account for Terms violations • Outstanding orders will be fulfilled unless mutually cancelled • Upon termination, You lose access to order history and saved data

Product Listings: Important Disclaimers: • Product images are for illustration purposes only • Actual products may vary in size, color, shape, and appearance • Natural variations in fresh produce are normal and expected • Weights are approximate and may vary by ±10% • Nutritional information is indicative and may vary by batch • Seasonal availability affects product selection Product Quality Standards: • All products comply with FSSAI (Food Safety and Standards Authority of India) regulations • Organic products carry valid certifications • Products are sourced from verified suppliers • Fresh produce is hand-selected before packing Accuracy of Information: While we make reasonable efforts to ensure accuracy, we do NOT warrant that: • Product descriptions are complete or error-free • Images exactly represent the actual product • Nutritional values are precise for each unit • All products displayed are in stock Product Availability: • Products are subject to availability and seasonal variations • We reserve the right to limit quantities per order • Out-of-stock items may be substituted or refunded • Seasonal items may be unavailable during off-season Placing Orders: When You place an order: 1. You make an offer to purchase at the displayed price 2. We review and accepts/rejects the order 3. You receive confirmation via SMS/email upon acceptance 4. Order acceptance doesn't guarantee delivery until dispatch We may refuse or cancel orders if: • Product becomes unavailable • Pricing errors are detected • Suspected fraudulent activity • Delivery address is outside service area • Previous payment disputes exist Product Substitutions: If an ordered item is unavailable: • Price adjustments will be made for value differences
5. Pricing and Payments

Payment Methods Accepted: • UPI (Google Pay, PhonePe, Paytm, BHIM, etc.) • Credit/Debit Cards (Visa, Mastercard, RuPay, Amex) • Net Banking • Digital Wallets (Paytm, Amazon Pay, Mobikwik, etc.) Payment Processing: • Prepaid orders are charged immediately upon order placement • Payment processing is handled through secure, PCI-DSS compliant gateways • We do not store complete card details • Failed payments result in automatic order cancellation Payment Authorization: By providing payment information, You represent and warrant that: • You are legally authorized to use the payment method • You have sufficient funds/credit for the transaction • The information provided is accurate and current • The payment does not violate any applicable laws or terms Payment Failures: Orders may fail or be cancelled if: • Insufficient funds in account • Card expired or declined • Technical issues with payment gateway • Bank's fraud prevention measures triggered • Incorrect payment details provided We are not responsible for: • Payment gateway downtime or errors • Bank processing delays • Declined transactions due to bank policies • Any fees charged by Your bank or payment provider Title Transfer: Title and risk of Products transfer to You only after: • Successful payment (for prepaid orders), OR • Delivery and payment acceptance (for COD orders)
🚚6. Delivery Terms and Conditions

Order confirmation sent via SMS/email after payment 2. Order packed and quality-checked 3. Assigned to delivery partner 4. Delivery partner may call 15-30 minutes before arrival 5. Products delivered to specified address 6. Delivery receipt provided Delivery Address: • Must provide complete, accurate delivery address • Include landmark, floor/apartment number, gate code if applicable • Delivery to residential and commercial addresses only • No deliveries to P.O. boxes or public places • You are responsible for address accuracy Delivery Attempts: • We make reasonable attempts to complete delivery • If no one is available to receive: - Prepaid orders: Products may be left at doorstep at Your risk • Refused deliveries are treated as completed (no refund) Unattended Delivery: If You request unattended delivery (leave at doorstep): • You waive all liability for theft, damage, or spoilage • You accept risk of temperature-sensitive items • You agree that delivery is considered complete • No refunds or replacements for issues arising from unattended delivery Delivery Partner Conduct: You agree to: • Treat delivery partners with respect and courtesy • Not discriminate based on any protected characteristic • Not harass, abuse, or threaten delivery personnel • Cooperate in a timely manner during delivery Violation of these standards may result in account suspension. Delivery Zones: • Service available in select areas only • Serviceable pincodes displayed during checkout • We may expand or reduce delivery zones without notice • Remote areas may have longer delivery times or higher charges Perishables: • Customer must refrigerate products immediately upon delivery • We are not liable for spoilage after delivery due to improper storage

Returns and Replacements: We accept returns/replacements ONLY for: • Wrong items delivered (different from what You ordered) • Damaged or rotten products at time of delivery • Spoiled or contaminated items • Products not meeting our quality standards • Items with quality issues not visible in packaging Return Conditions - You MUST: • Inspect products immediately upon delivery • Report issues within 24 hours of delivery • Provide clear photos showing the issue • Keep products in original packaging where applicable • Products should be sealed/unused where applicable Return Process: 1. Contact customer support within 24 hours 2. Provide photos and order details 3. Our team verifies the claim within 48 hours 4. If approved, pickup arranged at no cost 5. Replacement or refund processed NON-RETURNABLE Products: • Items consumed or used by customer • Damage due to customer mishandling or improper storage • Natural variations in size, color, shape, or taste • Products damaged after 24 hours of delivery • Claims without photographic evidence • Products purchased on final sale/clearance Refund Policy: Refund Mode: • Prepaid orders: Original payment method (5-7 business days) • Partial refunds for partial returns Refund Amount: • Full product cost for eligible returns • Delivery charges refunded (based on pro-rata basis) • Packaging charges non-refundable • Any applicable bank charges deducted Refund Timeline: • Verification: 24-48 hours • Refund initiation: Within 7 business days of verification • Credit to account: 5-7 business days (bank dependent) • Wallet credit: Immediate after approval Natural Variations Not Covered: The following are NOT defects and not eligible for return: • Minor size variations in fruits/vegetables • Natural color differences in produce • Shape irregularities in natural products • Slight taste variations (natural sweetness/acidity) • Cosmetic blemishes that don't affect quality • Seeds in seedless varieties (occasional) • Ripeness levels (unless severely overripe/underripe) Quality Guarantee: Despite natural variations, we guarantee: • Products are fresh at time of delivery • No rot, mold, or spoilage at delivery • No contamination or foreign objects • Reasonable shelf life remaining • Products meet food safety standards
8. Freshness and Quality Commitment

Freshness Standards: • All perishable items guaranteed fresh at time of delivery • Products hand-picked and quality-checked before packing • Reasonable shelf life remaining on all items • Hygiene protocols followed during handling and packing Food Safety Compliance: • All products comply with FSSAI regulations • Products sourced from verified, reputable suppliers • Regular quality audits of supplier facilities • Proper cold storage and transportation maintained • Staff trained in food safety and hygiene Quality Checks: Before dispatch, products are checked for: • Visual appearance and freshness • No signs of damage, rot, or spoilage • Appropriate ripeness level • Cleanliness and hygiene • Correct weight and quantity • Proper packaging and labeling Organic Products: • Certified organic products carry valid certification • Certification details available on product page • We verify organic claims with documentation • Third-party certified by recognized bodies Quality Complaints: If You are not satisfied with product quality: • Contact us within 24 hours of delivery • Provide clear photos showing the issue • Describe the problem in detail • Keep product in original packaging • Our team investigates within 48 hours • Valid complaints resolved via replacement/refund What We Cannot Guarantee: • Exact size, weight, color of individual items • Specific ripeness level (unless specified) • Taste preferences (natural variations occur) • Shelf life beyond manufacturer's recommendation • Quality after improper storage by customer Customer Responsibilities: You must: • Inspect products immediately upon delivery • Store perishables properly (refrigerate as needed) • Consume within recommended shelf life • Follow storage instructions on packaging • Report quality issues within 24 hours • Provide photos for quality claims We Are NOT Liable For: • Spoilage due to improper storage by customer • Quality deterioration after 24 hours of delivery • Issues not reported within 24-hour window • Damage caused by customer mishandling • Natural ripening process after delivery • Preference-based complaints (taste, ripeness)
⚖️9. Prohibited Uses and User Conduct

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to: Fraudulent Activities: • Provide false, inaccurate, or misleading information • Use stolen credit cards or unauthorized payment methods • Create fake accounts or use someone else's account • Place orders with no intention to complete payment • Abuse refund or return policies • Engage in any form of payment fraud Account Misuse: • Share Your account credentials with others • Create multiple accounts for the same person • Use automated systems, bots, or scripts to access the Platform • Attempt to gain unauthorized access to systems or accounts • Impersonate another person or entity • Sell, transfer, or assign Your account to others Platform Interference: • Interfere with or disrupt the Platform or servers • Upload viruses, malware, or malicious code • Attempt to decipher, decompile, reverse engineer the Platform • Use data mining, robots, or similar data gathering tools • Bypass security measures or authentication systems • Overload or spam the Platform's infrastructure Content Violations: You shall NOT upload, post, or share any content that: • Belongs to another person without authorization • Is defamatory, obscene, pornographic, or offensive • Infringes intellectual property rights • Violates any law or regulation • Threatens national security or public order • Encourages illegal activities • Contains false or misleading information • Harasses, abuses, or harms others Delivery Partner Conduct: • Harassment, abuse, or disrespectful behavior toward delivery staff • Discrimination based on race, religion, caste, gender, etc. • Refusal to accept delivery based on delivery partner's identity • Physical threats or violence toward delivery personnel • Inappropriate comments or behavior Commercial Misuse: • Resell products purchased from the Platform • Use the Platform for commercial purposes without authorization • Copy or reproduce product information for commercial use • Use our trademarks, logos, or brand without permission Review Abuse: • Post fake, false, or fraudulent reviews • Review products You haven't purchased • Accept compensation for reviews without disclosure • Post reviews on behalf of others • Include offensive or inappropriate content in reviews Consequences of Violations: We reserve the right to: • Immediately suspend or terminate Your account • Cancel pending and future orders • Report illegal activities to law enforcement • Pursue legal action for damages • Ban Your device, phone number, or payment method • Refuse future service permanently You will be liable for: • Any losses incurred due to Your violations • Legal fees and costs of enforcement • Damages to Frexic's reputation or business • Any fraudulent transactions on Your account

Frexic won't be liable for failure to perform obligations due to events beyond reasonable control, including: Natural Disasters: • Earthquakes, floods, cyclones, storms • Drought affecting crop availability • Extreme weather conditions • Pandemics, epidemics, or health emergencies Governmental Actions: • Government orders, regulations, or restrictions • Lockdowns or curfews • Import/export restrictions • Changes in law or policy • Emergency declarations Infrastructure Failures: • Power outages or electricity failures • Internet or network disruptions • Transportation strikes or blockades • Road closures or traffic restrictions • Fuel shortages Agricultural Factors: • Crop failures or poor harvests • Pest infestations or diseases affecting crops • Unseasonable weather affecting supply • Market disruptions in agricultural trade Security Issues: • Wars, terrorism, or civil unrest • Riots or public disturbances • Labor strikes or disputes • Cyber attacks on systems During Force Majeure Events: • We will notify You promptly of delays or disruptions • Service may be temporarily suspended • Delivery timelines may be extended • Some products may become unavailable • We will make reasonable efforts to minimize impact Your Rights During Force Majeure: • Full refund for unfulfilled prepaid orders • Cancel pending orders without penalty • Updates on service restoration timeline • Alternative product suggestions where possible If force majeure continues beyond 30 days: • Either party may terminate affected orders • Refunds processed for cancelled orders • No liability for non-performance during the event

You hereby irrevocably consent to such jurisdiction and waive any objection to venue in Mumbai courts.
